These Terms and Conditions ("Terms") govern your access to and use of the website artworkupgrade.com and the related services ("Service") provided by ArtworkUpgrade ("we", "us" or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. Eligibility

You must be at least 18 years of age and capable of entering into a legally binding contract under the Indian Contract Act, 1872 to use the Service. By using the Service, you represent and warrant that you meet these requirements.

2. The Service

ArtworkUpgrade provides an automated image-to-vector conversion service. You may upload an image file and receive a preview of the converted vector output free of charge. If you wish to download the converted file in one or more formats, you may purchase a one-time download by paying the applicable fee.

3. Accounts and Information

The Service does not currently require you to create an account. For paid downloads, you will be asked to provide a valid email address and mobile number so that we can deliver your files and share payment confirmations. You agree to provide accurate information and to keep it current.

4. Fees and Payments

Prices are displayed in the currency shown at checkout, which is auto-detected based on your location and can be changed manually. ArtworkUpgrade is an export of digital services from India and qualifies as a zero-rated supply under applicable Indian GST rules; accordingly, no Indian GST is charged on your purchase. Prices are exclusive of any local taxes, duties or levies that may apply in your country, which remain your responsibility. Payments are processed through our third-party payment aggregators. We do not store your full card or banking credentials. By making a payment, you authorise us and our payment partner to charge the relevant amount to your selected payment instrument.

5. Licence to Use Output Files

Upon successful payment, you are granted a perpetual, worldwide, non-exclusive, non-transferable licence to use, modify and distribute the downloaded vector files for personal or commercial purposes, subject to your ownership of (or authorised rights in) the input image. We do not claim any intellectual property in the output files.

6. Your Content and Warranties

You retain all rights in the images you upload. You represent and warrant that: (a) you own or have the necessary permissions to upload and convert the image; (b) the image does not infringe any third-party intellectual property, privacy or publicity rights; and (c) the image does not contain unlawful, obscene, defamatory or otherwise objectionable material. You agree to indemnify us against all claims arising from a breach of these warranties.

7. Acceptable Use

You agree not to:

• use the Service for any unlawful purpose or in violation of applicable Indian law, including the Information Technology Act, 2000;
• upload malware, viruses or content that is hateful, harassing, infringing or otherwise prohibited under Rule 3(1)(b) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021;
• attempt to reverse-engineer, scrape, overload or interfere with the Service;
• resell or redistribute access to the Service without our prior written consent.

8. Intellectual Property

All rights in the Service, including its software, design, trademarks and logos, are owned by or licensed to ArtworkUpgrade. No rights are granted to you except those expressly stated in these Terms.

9. Service Availability

We aim to keep the Service available at all times but do not guarantee uninterrupted or error-free operation. We may suspend or modify the Service for maintenance, upgrades, regulatory reasons or events beyond our reasonable control.

10. Disclaimer of Warranties

The Service and any output are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, whether express or implied, including merchantability, fitness for a particular purpose and non-infringement. Output files may require further refinement by a designer or printer depending on your end-use; we do not warrant that output will be print-ready for a specific medium.

11. Limitation of Liability

To the maximum extent permitted by law, our aggregate liability arising out of or in connection with the Service for any claim will not exceed the total amount actually paid by you to us in the three (3) months preceding the event giving rise to the claim. In no event will we be liable for any indirect, incidental, consequential, special or exemplary damages, including loss of profits, data or goodwill.

12. Termination

We may suspend or terminate your access to the Service at any time, without notice, if we reasonably believe you have breached these Terms or applicable law. Sections relating to intellectual property, warranties, indemnity, limitation of liability and governing law will survive termination.

13. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on this page along with the revised "Last updated" date. Your continued use of the Service after the update constitutes your acceptance of the revised Terms.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of India. Subject to the Arbitration and Conciliation Act, 1996, any dispute arising out of or in connection with these Terms will be subject to the exclusive jurisdiction of the competent courts situated in the city of our registered office in India.

15. Grievance Officer

In accordance with the Information Technology Act, 2000 and the rules thereunder, the name and contact details of the Grievance Officer are provided below. The Grievance Officer will endeavour to acknowledge complaints within 24 hours and resolve them within 15 days of receipt.
